TMBill Technology LLC
By accessing and using the WhatsApp Marketing Platform (the "Platform"), you agree to be bound by these Terms and Conditions. If you do not agree to any part of these terms, you may not use the Platform. We reserve the right to modify these terms at any time, and continued use of the Platform following any changes constitutes your acceptance of the new terms.
Account Registration:
To use the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
Eligibility Requirements:
You must be at least 18 years old and have the legal authority to enter into binding agreements. Your business must comply with all applicable local, state, national, and international laws and regulations. If you represent a business, you must have the authority to bind that business to these terms.
You agree to use the Platform solely for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the Platform. Prohibited behavior includes:
- Harassing or causing distress or inconvenience to any person
- Transmitting obscene or offensive content or disrupting the normal flow of dialogue within the Platform
- Attempting to gain unauthorized access to our systems or networks
- Sending unsolicited WhatsApp messages in violation of applicable laws (TCPA, GDPR, etc.)
- Using the Platform for any illegal or fraudulent purpose
- Reverse engineering, decompiling, or attempting to discover any source code or proprietary information
- Uploading or transmitting viruses or any other malicious code
- Violating Meta/Facebook's policies or WhatsApp Business terms of service
- Platform Ownership:
All content, features, and functionality of the Platform (including but not limited to all information, software, text, displays, images, video, and audio) are owned by TMBill Technology LLC, its licensors, or other providers of such material and are protected by copyright, trademark, and other intellectual property laws. - Your Content:
You retain ownership of any content you create, upload, or submit through the Platform (such as message templates, campaigns, and custom parameters). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content solely for the purpose of operating and improving the Platform.
To the fullest extent permitted by law, TMBill Technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:
- Your use of or inability to use the Platform
- Any unauthorized access to or alteration of your transmissions or data
- Any third-party conduct or content on the Platform
- Service interruptions or unavailability
- Loss of business opportunities or revenue
In no event shall our total liability to you exceed the amount you have paid to us in the past 12 months, if any.
You agree to indemnify, defend, and hold harmless TMBill Technology LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms and Conditions, or your violation of any third-party rights.
Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to our collection and use of your personal information as outlined in the Privacy Policy.
You are responsible for ensuring your WhatsApp campaigns comply with applicable laws and regulations, including but not limited to the Telephone Consumer Protection Act (TCPA), the General Data Protection Regulation (GDPR), the Children's Online Privacy Protection Act (COPPA), and all local messaging regulations. We are not responsible for any legal violations resulting from your use of the Platform.
The Platform may contain links to third-party websites and services, including Meta/Facebook, WhatsApp Business, and other integrations. We are not responsible for the content, accuracy, or practices of these third-party services. Your use of third-party services is governed by their own terms and privacy policies. We recommend reviewing their terms before using their services.
Access to certain features of the Platform may require a paid subscription. Pricing and features are subject to change upon notice. All fees are exclusive of applicable taxes unless otherwise stated.
Billing occurs automatically according to your selected subscription plan. You authorize us to charge your payment method. Refunds are not available except as required by law or at our sole discretion.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle.
We reserve the right to suspend or terminate your account if:
- You violate these Terms and Conditions
- You engage in any illegal or fraudulent activity
- You fail to pay any fees or charges
- Your use of the Platform violates Meta/Facebook or WhatsApp policies
- Your business account is suspended or terminated by Meta/WhatsApp
- We reasonably believe your use poses a security or legal risk
Upon termination, your access to the Platform will be immediately discontinued, and we may delete your account and associated data as permitted by law.
Any dispute arising out of or related to these Terms and Conditions or your use of the Platform shall be resolved through binding arbitration rather than in court. This includes any claims related to privacy, contract disputes, or any other matter.
By agreeing to these terms, you waive your right to a jury trial and the right to pursue claims in a court of law. The arbitration shall take place in a location agreed upon by both parties or as determined by the arbitrator.
These Terms and Conditions shall be governed by and construed in accordance with the laws applicable to the jurisdiction where TMBill Technology LLC is registered, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the arbitration forum or courts located in that jurisdiction.
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and TMBill Technology LLC regarding your use of the Platform and supersede all prior agreements, understandings, and negotiations, whether written or oral.
